The proposed $111 billion merger between Paramount (under David Ellison's Skydance Media) and Warner Bros. Discovery was supposed to create a media powerhouse capable of competing with Disney and Netflix. Instead, it has become one of the messiest corporate sagas in Hollywood history.

California Attorney General Rob Bonta is leading a coalition of 12 states that have filed lawsuits to block the deal, arguing it would create a monopoly that squeezes local movie theaters and reduces content diversity. On August 24, Bonta abruptly canceled planned settlement talks with Paramount, accusing the company of leaking confidential discussions to the press. The Theater Chains vs. The States
